LEGAL / TERMS AND CONDITIONS
Terms and Conditions
These terms describe how a route planning engagement with Bass Nutmeg works once a written proposal has been accepted.
Last updated: 27 October 2026
1. How an engagement starts
An engagement begins with an enquiry, usually through the form or by e-mail. We then discuss your fleet and the way you plan today and, if the service looks like a fit, send a written proposal. The engagement exists only once the proposal has been accepted in writing by both sides. Until then nothing on the website binds either of us. These terms apply to engagements by the operator of Bass Nutmeg and are read together with the proposal; where the proposal differs, the proposal prevails.
2. Scope, fees and schedule
Each proposal states the service (route optimisation setup, delivery time estimation or fleet utilisation review), what is delivered, the fee, how consumption tax is shown, the payment timing and an indicative schedule. The starting fees on the site (from ¥29,500, ¥25,000 and ¥17,500) are guide prices for budgeting and not a quotation. The durations on the site are indicative and depend on when we receive your records and how quickly questions are answered.
Work outside the written scope is agreed separately before it begins.
3. What you provide
You provide the records the proposal asks for, a person who can answer questions about how your operation really runs, and the dispatchers who are to be trained. You confirm that you may lawfully hand over those records, including any personal information in them (see the Privacy Policy). Delays in providing them move the schedule by the same amount.
4. What we deliver
Depending on the service, we deliver a configured planning or estimation step with dispatcher training, an accuracy report, or a written utilisation review. Deliverables are described in the proposal. We do not supply vehicles, telematics hardware, software licences or staff unless the proposal says so.
5. No outcome is promised
A computed sequence, an arrival window or a utilisation figure is an analytical result built from the records you provide. We do not promise a shorter distance, a lower cost, a higher on-time rate or any other result. The size of any change depends on your fleet, your delivery area and how the work is used afterwards.
6. Decisions stay with the carrier
Plans and estimates are inputs to your dispatcher's decisions. You remain responsible for your own transport operations, including compliance with the rules on drivers' working and rest hours, vehicle loads, road access and any licence your business needs. Arrival windows are not delivery commitments made by us to your customers.
7. Confidentiality
We treat your records and everything we learn about your operation as confidential and use them only for the engagement. This does not apply to information that is public or that we already had. The duty continues after the engagement ends, for as long as the information stays confidential.
8. Rights in the deliverables
Once the agreed fee has been paid, you may use the configuration, the reports and the training material for your own business. We keep the right to use our general methods and know-how. Your records remain yours and are returned or deleted as the proposal provides.
9. Changes and cancellation
Either side may ask to change the scope or the schedule; a change takes effect when it is confirmed in writing. Cancellation terms, including how work already done is charged, are agreed in the proposal. Because the services are advisory work and not the sale of goods, no goods-return arrangement applies.
10. Liability
To the extent the law allows, our liability for loss arising from an engagement is limited to loss we caused by breaching the agreement, and does not extend to indirect or consequential loss or to loss that arises from decisions you took on the basis of an estimate. This limit does not apply to intent or gross negligence, or to anything the law does not let us limit. These services are offered to businesses; where a customer is a consumer, the Consumer Contract Act applies and prevails over any conflicting term.
11. Governing law and courts
The engagement is governed by Japanese law. Disputes are to be brought before the courts that have jurisdiction under Japanese law, unless the proposal names another court.
